This document is a public offer (hereinafter referred to as the "Offer") of DesignSystems.surf, operated by Dzeya OU (Reg. number: 17182117), hereinafter referred to as the "Seller", and addresses any person (hereinafter referred to as the "Buyer") who makes a purchase or subscribes to a subscription plan on the website https://designsystems.surf/.
By making payment for any digital product or subscription plan on the website, the Buyer fully and unconditionally accepts the terms of this Offer and enters into a legally binding agreement.
1. Subject of the Agreement
1.1. The Seller offers digital products for sale on the website, including but not limited to templates, audit kits, checklists, and digital tools related to design systems.
1.2. Digital products may be offered as one-time purchases or, where indicated, as recurring subscription plans.
1.3. The Buyer agrees to purchase a selected digital product or subscription plan on the terms set forth in this Offer.
2. Acceptance and Formation of the Agreement
2.1. This Offer constitutes a legally binding agreement and does not require signing a separate document.
2.2. The Offer is accepted by the Buyer at the moment of payment for any product or subscription plan on the website.
2.3. Upon payment, a purchase confirmation will be sent to the email address provided by the Buyer.
2.4. For subscription plans, this Offer continues to govern each subsequent renewal payment for as long as the subscription remains active.
3. Price and Payment
3.1. All prices are indicated in U.S. dollars (USD) or EUR and include all applicable taxes unless otherwise stated.
3.2. Payment is made via Stripe or other authorized payment systems integrated into the website.
3.3. The Buyer is solely responsible for entering correct payment and contact information.
3.4. The Seller may offer regional or promotional pricing at its discretion; such offers do not otherwise alter the terms of this Offer.
4. Subscription Plans
4.1. Certain digital products are offered as recurring subscription plans. Currently available billing periods are Annual and Half-year; the price and billing period for each plan are displayed at the time of purchase.
4.2. Subscriptions renew automatically at the end of each billing period at the then-current subscription price, unless cancelled by the Buyer before the renewal date.
4.3. The Buyer may cancel a subscription plan at any time. Cancellation takes effect at the end of the current billing period; the Buyer retains access to subscription benefits until that date and will not be charged for the following period.
4.4. The Seller may change the price, billing period, or included benefits of a subscription plan from time to time. Material changes will be communicated to active subscribers by email in advance of taking effect for their next renewal.
4.5. Subscription plans are provided on an individual, single-user basis unless a Team or multi-seat plan is explicitly purchased. Team or multi-seat licensing terms are not yet available as of the date of this Offer (see Section 8.4).
5. Delivery of Digital Products
5.1. After successful payment, access to the digital product will be provided via download link, email, or user account, depending on the product type.
5.2. Delivery is considered completed once the download link or product access is sent to the Buyer.
6. Updates and Ongoing Access
6.1. One-time purchases provide access to the digital product as it exists at the time of purchase. Unless otherwise stated for a specific product, one-time purchases do not include future content updates, new releases, or ongoing access to subscriber-only content.
6.2. Active subscription plans include, for as long as the subscription remains active, access to current product versions, periodic content updates, new releases issued during the subscription term, and any subscriber-only content made available to active subscribers.
6.3. Lifetime or permanent-access purchases, where offered as a distinct one-time purchase option, include ongoing future updates for as long as this option remains supported by the Seller, without requiring recurring payment.
6.4. A Buyer who no longer holds an active subscription or applicable lifetime-access purchase retains the right to keep and use any files already downloaded, but will not receive further updates, new releases, or subscriber-only content going forward.
6.5. Where the Seller changes a specific product's included updates or support terms, Buyers who purchased that product before the change retain the entitlements stated at the time of their purchase, even where those entitlements are no longer offered to new buyers of the same product.
7. Refund Policy
7.1. The Buyer is entitled to request a full refund within seven (7) calendar days of purchase if they find the product unhelpful or not suited to their needs. In such cases, the Seller will process the refund upon receiving a written request, without requiring the Buyer to provide additional justification.
7.2. For subscription plans, the refund described in Section 7.1 applies to the first payment of a new subscription only. Subsequent renewal payments are non-refundable; the Buyer may cancel at any time under Section 4.3 to prevent future renewal charges.

8. Intellectual Property
8.1. All digital products available on the website are protected by copyright and remain the intellectual property of their respective authors.
8.2. Purchase of a digital product, or access received as part of an active subscription plan, grants the Buyer a non-exclusive, non-transferable license to use the product for personal or commercial use, unless otherwise specified on the product page.
8.3. Resale, redistribution, or public sharing of the product (in whole or in part) is strictly prohibited.
8.4. Team or multi-seat licensing terms, including any provisions for commercial redistribution or institutional/organizational use, are not yet available as of the date of this Offer and will be published separately once defined.
9. Limitation of Liability
9.1. The Seller shall not be liable for any direct or indirect damages resulting from the use or inability to use the purchased product.
9.2. The Buyer is solely responsible for the way the product is used in their personal or commercial practice.
10. Final Provisions
10.1. The Seller reserves the right to update or amend this Offer at any time without prior notice. The current version will always be available at https://designsystems.surf/public-offer-agreement-digital-products.
10.2. Any disputes arising out of this Offer shall be governed by the laws of the Republic of Estonia.
10.3. By making payment, the Buyer confirms that they have read, understood, and agreed to all the terms of this Offer.
